Notification by Legg Mason Towarzystwo Funduszy Inwestycyjnych S.A. of change of ownership in the total number of votes at the General Meeting of the Company PROCHEM S.A.

On 24 January 2013 Company PROCHEM S.A. received the notice as below:

Legg Mason Towarzystwo Funduszy Inwestycyjnych Spółka Akcyjna on behalf of Legg Mason Parasol Funduszu Inwestycyjnego Otwartego („Legg Mason Parasol FIO”), announces that the Fund has a separate share which exceeds 5 % of the total number of votes at the General Meeting of PROCHEM S.A. („The Company”).

The reason for the change of ownership in the total number of votes at the General Meeting of the Company was converting on 18 January 2013 as indicated below investment funds managed by Legg Mason TFI, namely:

1) Legg Mason Akcji Fundusz Inwestycyjny Otwarty;

2) Legg Mason Strateg Fundusz Inwestycyjny Otwarty;

3) Legg Mason Obligacji Fundusz Inwestycyjny Otwarty;

4) Legg Mason Pieniężny Fundusz Inwestycyjny Otwarty;

in open investment fund with sub-funds under the name Legg Mason Parasol Fundusz Inwestycyjny Otwarty.

Prior to the change of ownership, investment funds subject to above mentioned transformation had 284,054 shares of the Company representing 7.29 % of the share capital entitling to 284,054 votes at the General Meeting of the Company representing 7.29 % of the total number of votes at the General Meeting of the Company.

At the date of this notice Legg Mason Parasol FIO has 284,054 shares of the Company, representing 7.29 % of the share capital, entitling to 284.054 votes at the General Meeting of the Company, representing 7.29 % of the total number of votes at the General Meeting.

At the same time, Legg Mason TFI, acting on the basis of Art. 69 a paragraph 1 item 1 in conjunction with Art. 87 sec. 1 item 2a, on behalf of the Legg Mason Parasol FIO, Legg Mason Akcji Skoncentrowany Funduszu Inwestycyjnego Zamkniętego and Funduszu Własności Pracowniczej PKP Specjalistycznego Funduszu Inwestycyjnego Otwartego („the Funds”) announces that the Funds have shares representing more than 15 % of the total number of votes at the General Meeting of the Company.

The reason for the change in the total number of votes at the General Meeting of the Company was the aforementioned transformation.

Prior to the change of ownership, investment funds subject to indicated above transformation Legg Mason Akcji Skoncentrowany Fundusz Inwestycyjny Zamknięty and Fundusz Własności Pracowniczej PKP Specjalistyczny Fundusz Inwestycyjny Otwarty held 610,138 shares of the Company representing 15.67 % of the share capital entitling to 610,138 votes at the General Meeting of the Company representing 15.66 % of the total number of votes at the General Meeting of the Company.

At the date of this notice funds held 610,138 shares of the Company representing 15.67 % of the share capital entitling to 610,138 votes at the General Meeting of the Company, representing 15.66 % of the total number of votes at the General Meeting of the Company.
