Notification of change of ownership in the total number of votes of company PROCHEM S.A. by Legg Mason Towarzystwo Funduszy Inwestycyjnych S.A. the legal successor of Legg Mason Zarządzanie Aktywami S.A.

On 9 January the company received the notice as below:

Legg Mason Towarzystwo Funduszy Inwestycyjnych S.A., the legal succesor of Legg Mason Zarządzanie Aktywami S.A. as a result of a merger by takeover in accordance with Art. 492 § 1 item 1 of the Commercial Companies Code, according to the decree of the District Court for the capital city of Warsaw in Warsaw, XII Commercial Division of the National Court Register received on 3 January 2013, informs about the change of participation in the total number of votes in the PROCHEM S.A.

The change as above results from expiry on 2 January 2013 agreements for the management of investment portfolios of funds of Legg Mason concluded between Legg Mason TFI S.A. and Legg Mason Zarządzanie Aktywami S.A. by which expired the legitimacy for Legg Mason Zarządzanie Aktywami S.A. to exercise the right to vote attached to Company’s shares on behalf of customers.

Before 2 January 2013 on accounts of clients for whom Legg Mason Zarządzanie Aktywami S.A. were entitled to exercise the right to vote attached to Company’s shares were 610 138 Company’s shares representing 15.67 % of the share capital of the Company entitling to 610 138 votes from these shares representing 15.66 % of the votes at the General Meeting of the Company.

As at the date of this notice Legg Mason Towarzystwo Funduszy Inwestycyjnych S.A. does not have the right to vote from the Company’s shares at the General Meeting of the Company in the course of activities involving the management of portfolios, which include one or more financial instruments, in accordance with the provisions of the Law on Investment Funds. At the same time, investment funds managed by Legg Mason TFI S.A. are entitled to exercise voting rights attached to shares held by them.
