PROCHEM S.A. Management Board (“Issuer”) informs that in response to a request for information submitted by the shareholder of Value Fund Poland Activist FIZ, during the General Meeting of Shareholders on January 26, 2018, pursuant to art. 428 § 5 of the Commercial Companies Code, gave the indicated shareholder, on February 9, 2018, the following information:
In response to the question:
„When the Management Board received a presentation on “Financial analysis of the ability of payment of the free monetary funds by PROCHEM S.A.” , which was presented to the participants of the Extraordinary General Meeting of Shareholders on January 26, 2018?”
The Issuer’s Management Board informed the abovementioned shareholder that the presentation was sent by e-mail on January 25, 2018 at 17:53. 17:53. The Management Board was acquainted with the above the presentation immediately before the start of the Extraordinary General Meeting of Shareholders on January 26, 2018.
In response to the question:
„Whether the draft resolution notified at the Extraordinary General Meeting on January 26, 2018 by the shareholder Mr. Andrzej Karczykowski was consulted with the Management Board of the Company?”
The Issuer’s Management Board informed the abovementioned shareholder that the draft resolution was not consulted with the Management Board of the Company. Mr. Andrzej Karczykowski is a member of the PROCHEM S.A. Supervisory Board, and therefore the state of his knowledge as well as the information he possessed allowed him to prepare a draft resolution without necessity of consulting with the Management Board of the Company.
