Comment on press information regarding the conclusion of the agreement between Bechtel and PROCHEM

With reference to the news presented in press and website news about the signing of a cooperation agreement by Bechtel and PROCHEM, the Management Board of PROCHEM S.A. with its registered office in Warsaw (hereinafter referred to as the “Issuer”), inform that the Issuer is conducting with Bechtel Polska Sp. z o.o, negotiations aimed at finalizing the signing of a framework agreement for support services for Bechtel Polska Sp. z o.o in obtaining documentation concerning permits.

In accordance with the principles set out in the negotiated agreement, the Parties will determine the scope, remuneration and deadlines for completing individual documentation packages as Bechtel prepares the materials being the assumptions.

The negotiated agreement establishes the hourly rates that the Parties will use when determining the remuneration for individual documentation packages commissioned to the Issuer in the future. If orders are received, the Issuer will inform about this fact in the manner provided for by applicable regulations.

The Management Board of the Issuer’s company decided that it was necessary to clarify the information that appeared in the public space, because the fact that Bechtel provided information about the conclusion of the agreement had a significant impact on the price of the Issuer’s shares, so, in the opinion of the Management Board of the Issuer’s company, meets the criteria for confidential information specified in Art. 7 paragraph 1, 2 and 4 of MAR.
