Changes in the rights attached to securities of the issuer

Based on:

– § 10 of Statutes of Company PROCHEM S.A,

– Resolution No 22/132/94 of Supervisory Board of Warsaw Stock Exchange S.A. of 30 May 1994,

– Resolution No 111/12 of Management Board of National Depository for Securities S.A. of 15 February 2012,

– Resolution No 126/2012 of Management Board of Warsaw Stock Exchange S.A. of 10 February 2012,

the following changes are introduced:

– 6250 of common registered shares of PROCHEM S.A.,

– 1010 of preferred registered shares of PROCHEM S.A.

become bearer shares.

In conformity with § 9 of the Statutes of Company PROCHEM S.A. privileging the shares consists in granting three votes to each of those shares, preference shares shall lose the preferential nature in the event of exchanging them into bearer’s shares.

Date of the conversion, the assimilation and the listing on main market in the ordinary mode of securities mentioned above – 20 February 2012 .

After the change the company’s share capital amounts to PLN 3,895,000 and didn’t change.

Total number of votes from all shares of PROCHEM S.A. on General Meeting of Shareholders after the change will amount to 3,896,660.

Structure of the shares of PROCHEM S.A. after the change:

– 830 registered preference shares (PLPRCHM00055 code),

– 14,754 common registered shares (PLPRCHM00022 code),

– 3,879,416 bearer shares (PLPRCHM00014 code).
