Notification by shareholders of a reduction in the share in the total number of votes at the General Meeting of Shareholders below the 10% threshold

The Management Board of PROCHEM S.A. with its seat in Warsaw (hereinafter referred to as the “Issuer”) informs that on August 31, 2021, the Issuer received from APUS S.A. with its seat in Warsaw and from Jean Jaques Alphandera, a notification on the reduction of the block of shares.
The decrease in the share in the total number of votes at the Issuer’s General Meeting of Shareholders is a result of the settlement on August 25, 2021 of the transaction under the frame of the buy-back of 580,000 own shares for redemption announced by the Issuer on August 5, 2021.

Before the change Jean Jaques Alphandery:

as a dominant subject in relation to APUS S.A. has held in APUS S.A. 311,769 shares of the Issuer’s company, which constituted 10.62% of the share capital and 10.62% of the total number of votes at the Issuer’s General Meeting;
on his own account Jean Jaques Alphandery held 58 577 shares of the Issuer’s company, what constituted 1.99% of the share capital and gave 1.99% of the total number of votes at the Issuer’s General Meeting.

After the settlement of the transaction of sale of shares as part of the buy-back of own shares announced by the Issuer, Jean Jaques Alphandery as the dominant subject in APUS S.A. and through a subsidiary holds a total of 145,965 shares of the Issuer’s company, which is 4.97% of the Issuer’s share capital, including:

as a dominant subject in relation to APUS S.A. owns in APUS S.A. 122,878 shares of the Issuer’s company, which constitute 4.19% of the Issuer’s share capital;
has 23,087 shares of the Issuer’s company on his own account, which constitutes 0.78% of the Issuer’s share capital.
