Notification of change in shareholding over 10% of the total number of votes at the general meeting of a public company by a shareholder of the company

On 18 October 2013 Mr. Steve Tappan – shareholder of PROCHEM SA announced Management Board of the company that the total number of votes at the general meeting of shareholders PROCHEM SA, has changed by 5.9696%.

The reason for the change in the total number of votes at the General Assembly of PROCHEM SA was the adoption of a resolution on dissolution and termination of the activity and on division of the company’s assets of Prochem Holding Spółka Komandytowa M. Garliński (heinafter called Prochem Holding). Based on the resolution on the division of the company’s assets of Prochem Holding, on October 16, 2013 the company Prochem Holding transferred 232,616 shares of PROCHEM S.A. The price per one transferred share was determined in accordance with the rate at closing the trading session on 15 October 2013 i.e. PLN 25.50. The total value of the transferred shares amounted to PLN 5,931,708.00.

Before the change, Steve Tappan owned 277,181 shares of PROCHEM SA, representing 7.1163% of the share capital and the shares give the right to exercise 277,181 votes at the General Meeting of Shareholders of PROCHEM SA corresponding to 7.1133% of the total number of votes.

At the date of this notice, the total number of shares of PROCHEM SA held by Steve Tappan is 509,797 units, representing 13.0885% of the share capital, and 509,797 votes at the General Meeting of Shareholders, representing 13.0829% of the total number of votes at the General Meeting of Shareholders of PROCHEM S.A.

At the same time Steve Tappan announces that on 17 October 2013 he joined with other persons the Agreement PHC on cooperation on exercising the rights of the shares in the company PROCHEM SA in Warsaw by former shareholders of the dissolved limited partnership under the name “Prochem Holding M. Garliński Spółka Komandytowa” seated in Warsaw.
