On 18 October 2013, the Management Board of PROCHEM SA received the following notifica-tion:
„In accordance with Art. 69 sec. 1 point 2 in connection with Art. 87 sec. 1 item 5 of the Act on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organized Trading, and Public Companies, persons listed in Annex 1 to this Notice concluded Agreement PHC- an agreement on cooperation in the exercise of the rights to the shares held in the company PROCHEM SA Warsaw by former shareholders of the dissolved limited partnership under the name of Prochem Holding M. Garliński Spółka Komandytowa, based in Warsaw. Concluded Agreement PHC will be valid until 31 December 2016.
The members of the agreement have in common 1,178,320 PROCHEM SA shares, which gives the right to exercise 1,179,920 votes at the General Meeting of Shareholders of PROCHEM SA, corresponding to 30.2803% of the total number of votes and represents 30.2521% of the share capital.
Pursuant to art. 87 sec. 3 of the Act on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organized Trading, and Public Companies, the Members of the Agreement PHC entitle the Coordinator of the Agreement PHC to perform the duties of imparting information referred to in the cited Act. Mr Marek Garliński was elected the Coordinator of Agreement PHC.”
