Notification of exceeding the threshold of 5% of the total number of votes at the General Meeting of PROCHEM S.A.

The Management Board of PROCHEM S.A. informs that on December 22, 2017, received from the company’s shareholder, Mr. Andrzej Karczykowski, a notification about exceeding the threshold of 5% of votes in the total number of votes in PROCHEM S.A.

Exceeding the threshold of 5% of the total number of votes in PROCHEM S.A. (hereinafter referred to as the “Company”) was in a result of the conclusion, on 22 December 2017, of the contract of purchase of 140,000 shares of the Company.

Before the change, Mr. Andrzej Karczykowski held 134 586 shares of the Company, which represented 3.46% of the share capital and entitled to 134 586 votes, representing 3.46% of the total number of votes at the General Meeting of the Company.

Currently, Mr. Andrzej Karczykowski holds 274,586 shares of the Company, which constitutes 7.05% of the share capital of the Company. These shares entitle to 274,586 votes at the General Meeting of the Company, which constitutes 7.05% of the total number of votes at the General Meeting.

Mr. Andrzej Karczykowski also informed that:
– there are no subsidiaries from him holding shares of the Company;
– there are no persons referred to in art. 87 sec. 1 item 3 of the Act on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organized Trading, and Public Companies;
– he is not entitled to vote from the Company’s shares in connection with the situations specified in art. 69 sec. 4 item 7-8 of the Act on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organized Trading, and Public Companies (hereinafter referred to as “the Act”).

The shareholder also does not have the financial instruments referred to in Art. 69b section 1 of above Act, and does not have the votes referred to in Art. 69b section 2 and 3 of above Act.
