The Management Board of PROCHEM S.A. with its seat in Warsaw (hereinafter referred to as the „Issuer”) informs that on February 21, 2022 informs that on February 21, 2022, received a contract signed by ElectroMobility Poland S.A. (hereinafter referred to as the “Investor”) under which the Issuer will provide the Investor with design and engineering services in the formula of the project management (EPCM) for the construction part of the production plant in Jaworzno.

The contract will enter into force in stages, in line with the advancement of the investment, based on the Investor’s decisions submitted in writing, before the commencement of each stage.

The total remuneration provided for in the contract for the Issuer for the performance of all stages is approximately PLN 38 million net.

Time limit for performing of the contract was determined for the first half of 2025.

On the date of conclusion of the contract, the contract will enter into force for the stage of preliminary services and concept work.

The Issuer’s remuneration for this stage amounts to PLN 2.88 million net.
The time limit for performing of this stage was determined for June 2022.

The Issuer will inform about the entry into force of the contract in relation to the subsequent stages in separate reports.

In addition to the basic scope of the contract, covered by the stages specified in the contract, the contract provides for additional optional services, the total value of which amounts to approximately PLN 20 million net.
Starting optional services depends on the Investor’s decision.
The Issuer will inform about the entry into force of the contract with regard to optional services in separate reports.
