Conclusion of a contract of sale of real estate by a jointly-controlled entity

The Management Board of PROCHEM S.A. seated in Warsaw (hereinafter referred to as the “Issuer”), with reference to the current information provided in current report No. 5/2022 of March 1, 2022, informs that on June 8, 2022 a jointly-controlled entity of the Issuer – Irydion Sp. z o.o. with its seat in Warsaw, concluded – as the seller – a contract for the sale of a land property located in Warsaw, at ul. Łopuszańska 95 together with the Astrum Business Park office complex located on the property, parking lot and infrastructure (hereinafter referred to as the “Property”), owned by Irydion sp. z o. o.

The provisions of the Agreement do not differ from the provisions used in this type of transactions. The agreement contains standard provisions for this type of transaction regarding the assurances and representations of the seller and the buyer as well as the liability of the Parties.

The sale price of the Property was EUR 43.7 million net. Part of the proceeds from the sale in the amount of approximately EUR 15 million was used to repay the mortgage loan obtained by Irydion sp. z o.o. in order to build an office complex on the Property.

The Issuer is the owner of 50% of shares in the company Irydion sp. z o.o. seated in Warsaw.

The Management Board of the Issuer’s company decided that the above information meets the criteria for confidential information specified in Art. 7 paragraph 1, 2 and 4 of MAR.
