Conclusion of an executive contract under the framework agreement – CPK

The Management Board of PROCHEM S.A. with its registered office in Warsaw (hereinafter referred to as the “Issuer”) hereby announces that the Issuer has today concluded an Executive Contract with Centralny Port Komunikacyjny Sp. z o.o. with its registered office in Warsaw for the development of design documentation for Ground Handling Facilities (under the UR1 Framework Agreement for the development of Design Documentation for Handling Facilities).

The Issuer’s maximum remuneration for the proper performance of the Executive Contract will not exceed PLN 7.1 million net, with the above amount consisting of:

– remuneration for the performance of the basic scope of work in the amount of PLN 3.8 million net;

and

– remuneration for the performance of optional tasks in the amount of no more than PLN 3.3 million net.

The entry into force of the Agreement regarding optional tasks depends on the decision of the Investor – CPK sp. z o.o., which the Investor may make at further stages of the implementation of the Agreement.

The Issuer is not entitled to any claims in connection with the Investor’s failure to exercise the option right in the scope of optional tasks.

The maximum term for the execution of the contract is set at 67 months from the date of its conclusion.
