Pledge Agreements for Registered Shares and Interests Between a Company from the PROCHEM S.A. Capital Group and mBank S.A. <\/h2> \r\n \r\n <\/div>\r\n \r\n <\/div>\r\n<\/div>\n\n\n

The Management Board of PROCHEM S.A. (hereinafter referred to as the “Issuer”) informs that it received information from its subsidiary, Prochem Inwestycje Sp. z o.o., about the return on December 29, 2016, by mBank S.A., based in Warsaw, of the following signed agreements:<\/p>\n\n\n\n

    \n
  1. A pledge agreement in favor of mBank S.A. for 8,874 shares of the subsidiary Predom Sp. z o.o. with a total nominal value of PLN 443,700, representing 74.86% of the company’s share capital and entitling to 66.08% of the votes at the general meeting.<\/li>\n\n\n\n
  2. A pledge agreement in favor of mBank S.A. for 176,455 shares of the subsidiary Elektromonta\u017c Krak\u00f3w S.A., with a total nominal value of PLN 882,275, representing 73.01% of the company’s share capital and entitling to the same share of votes at the general meeting.<\/li>\n<\/ol>\n\n\n\n

    The above-mentioned registered pledges were established up to the maximum secured amount of PLN 28,000,000 and constitute security for the financing provided to the Issuer in the form of a Multi-Product Line by mBank S.A., which the Issuer announced today in current report No. 29\/2016.<\/p>\n\n\n\n

    There are no connections between the Issuer and the persons managing or supervising the Issuer and mBank S.A. or the persons managing it, other than the standard banking services provided by mBank S.A. to the companies of the Issuer’s Capital Group.<\/p>\n\n\n\n

    The above pledge agreements have been considered significant as the book value of the pledged shares amounts to approximately PLN 15.1 million, which exceeds 10% of the Issuer’s equity.<\/p>\n\n\n\n
