Changing the Agenda of the Extraordinary General Meeting of PROCHEM S.A. on demand of the Shareholder <\/h2> \r\n \r\n <\/div>\r\n \r\n <\/div>\r\n<\/div>\n

Date of publication:<\/strong>08.01.2018<\/p>\n\n

The Management Board of PROCHEM S.A. with its registered office in Warsaw (“Issuer”, “PROCHEM S.A.”), with reference to:– report No. 27\/2017 of December 11, 2017 containing a notice of convocation of the Extraordinary General Meeting (“EGM”), and– report No. 1\/2018 dated January 2, 2018, informing about the change of the agenda,<\/p>\n\n

informs that as a result of the request by the shareholder of the Issuer, on January 5, 2018:– a draft resolution regarding item 7 of the agenda (“Adoption of a resolution regarding the consent to purchase of own shares by PROCHEM S.A. for redemption and granting authorization to purchase own shares of PROCHEM S.A.”), and– request to add specific issues to the announced agenda: the matter regarding the dissolution of part of the Investment Fund and the allocation of funds from the part of the dissolved Investment Fund, part of the Spare Capital and Reserve Capital for provisioning of Reserve Capital created for the purpose of purchasing own shares for redemption,<\/p>\n\n

The company made a change in the agenda of the Extraordinary General Meeting by:– adding the draft resolution to item 7 of the agenda;– adding an agenda item in accordance with the Shareholder’s demand (new item 9 of the agenda),<\/p>\n\n

Attached to the report, the Issuer provides:<\/p>\n\n

    \n
  1. the amended content of the notice<\/a> of convocation of the EGM, containing the agenda of the Extraordinary General Meeting, taking into account the points added at the request of the Shareholder;<\/li>\n\n\n\n
  2. the content of draft resolutions<\/a> of the EGM, taking into account the drafts submitted by the Shareholder.<\/li>\n<\/ol>\n\n
