Granting security in a case involving the Issuer and the Issuer’s shareholders <\/h2> \r\n \r\n <\/div>\r\n \r\n <\/div>\r\n<\/div>\n

The Management Board of PROCHEM S.A. (“Issuer”) informs that on 1 February 2018 was delivered to the seat of the Issuer the decision issued by the District Court in Warsaw of 19 January 2018 in the case from the application filed by Value Fund Poland Activist FIZ based in Warsaw with the participation of the Issuer and Steven Tappan, Konrad M\u0142ynarz, Andrzej Karczykowski, Marek Garli\u0144ski, Jaros\u0142aw St\u0119pniewski, Marek Kiersznicki, Maciej Kalita, Krzysztof Marczak, Jan Milczarczyk, Piotr Wowkonowicz, Barbara Augu\u015bci\u0144ska-Sawicka, Adam Parzyde\u0142, Tomasz Winnicki, Zdzis\u0142aw Rokita, Grzegorz Piotrowski, Zofia Kaczor, Maciej Grzybowski, for granting security to the claim.<\/p>\n\n

In the indicated decision, the Regional Court decided to grant security to the claim, before instituting proceedings based on lawsuit filed by Value Fund Poland FIZ, while determining that above mentioned persons may not exercise their voting right from the Issuer’s shares, through ban on the exercise of voting rights from the Issuer’s shares by the above-mentioned persons for the duration of the proceedings.<\/p>\n\n

At the same time, the court has designated two weeks for Value Fund Poland FIZ with its registered office in Warsaw to bring an action under the pain of that the security will be considered null and void. The Issuer has no information as to whether the lawsuit against the Issuer and the abovementioned shareholders has been brought. In the case of receiving a copy of such a lawsuit, the Issuer shall immediately provide information on this fact to the public knowledge.<\/p>\n\n

At the same time, the Issuer’s Management Board indicates that the Issuer has the right to lodge a complaint against the decision of the District Court in Warsaw on granting securing to the claim for Value Fund Poland FIZ.<\/p>\n\n
